Agreement

These Terms of Service (“Terms”) govern your use of WarpWare XEO (the “App”), a Shopify application provided by WarpWare Works LLC (“we,” “us,” or “our”).

By installing or using the App, you (“Merchant,” “you,” or “your”) agree to these Terms.

Quick Summary

  • You keep ownership of your product data and AI-generated content.
  • You are responsible for reviewing generated content before publishing it.
  • Billing is handled through Shopify where paid plans apply.
  • Your use of the App must comply with Shopify policies and applicable law.

1. Acceptance and Shopify Integration

1.1 Binding Agreement

By clicking “Install,” installing the App from the Shopify App Store, or using the App, you agree to be bound by these Terms, our Privacy Policy, and our Acceptable Use Policy.

1.2 Shopify Partner Program

We operate under the Shopify Partner Program Agreement. Your use of the App is also subject to:

You represent that you have authority to bind your business to these Terms and to authorize the App to access your Shopify store data.

1.4 Business Use Only

The App is intended for business use by Shopify merchants. You must be at least 18 years old and capable of forming a binding contract.

2. App Services

2.1 Services Provided

The App provides:

  • AI-powered product description generation using OpenAI
  • Bulk product description generation
  • Product description editing and review
  • Generation history and management
  • Store-specific AI context and customization

2.2 Shopify API Access

To provide these services, the App requests access to your Shopify store via the following API scopes.

Required at install (granted by every merchant):

  • read_products — To read product titles, descriptions, images, tags, and variants so the AI has context to write descriptions
  • write_products — To save AI-generated descriptions and tags back to your products when you approve them
  • read_inventory — To read variant stock quantities so the AI Search audit can flag out-of-stock items in its analysis

Optional (only requested if you opt in):

  • read_orders — Used only on the Optimize and Intelligence plans, when you enable A/B testing. The App subscribes to the orders/create webhook to attribute purchases to the description variant a shopper saw, so it can compute conversion lift. You can decline or revoke this scope at any time without losing access to description generation.

You authorize the required scopes when you install the App. Optional scopes are presented separately and only granted with your explicit consent.

2.3 Service Modifications

We may:

  • Add new features or functionality
  • Modify or discontinue features with 30 days notice
  • Perform maintenance that temporarily affects availability
  • Update the App to comply with Shopify requirements

Material changes that reduce functionality will be communicated via email.

2.4 Service Availability

The App is provided on an “as available” basis. We do not offer a uptime Service Level Agreement (SLA), service credits, or compensation for downtime. The App depends on third-party services (including Shopify, AI inference providers, and our cloud hosting provider), and we are not liable for outages caused by third-party service disruptions.

3. Data and Privacy

3.1 Data Processing Relationship

Critical Understanding:

  • You are the Data Controller for your customer data
  • We are the Data Processor - we process product data only on your behalf
  • You must disclose our use in your store’s privacy policy

3.2 Your Responsibilities

You must:

  • Maintain a privacy policy that discloses your use of the App
  • Comply with GDPR, CCPA, and applicable privacy laws
  • Only provide product data you have the right to share
  • Review AI-generated content before publishing
  • Take responsibility for published product descriptions

3.3 Our Responsibilities

We will:

  • Process product data only to provide the App functionality
  • Implement appropriate security measures
  • Not sell or share your product data
  • Delete data per your instructions or Shopify webhooks
  • Not train AI models on your specific product data

3.4 Protected Customer Data

This App does NOT access Protected Customer Data such as customer names, email addresses, phone numbers, or addresses. We only access product and store information.

4. Your Account and Security

4.1 Account Creation

Your account is created when you install the App. Only one account per Shopify store is permitted.

4.2 Account Security

You are responsible for:

  • Maintaining the security of your Shopify store credentials
  • All activity that occurs through your account
  • Notifying us immediately of unauthorized access

We are not liable for losses due to unauthorized use of your account.

4.3 Accurate Information

You must provide and maintain accurate billing and contact information.

5. Payment Terms

5.1 Subscription Plans

If the App offers paid plans, current pricing and plan details are shown in the Shopify App Store listing and in the App billing screen.

5.2 Billing Through Shopify

  • All charges are processed through Shopify’s billing system
  • You authorize Shopify to charge your payment method on file
  • Billing occurs monthly on your installation anniversary
  • All fees are in USD unless otherwise stated

5.3 Automatic Renewal

Your subscription automatically renews each billing period until cancelled.

5.4 Taxes

Fees exclude applicable taxes. You’re responsible for all taxes, duties, and governmental charges.

5.5 Price Changes

We may change pricing with notice where required. Changes apply through Shopify billing and, when applicable, on your next renewal date. Continued use after notice constitutes acceptance.

5.7 Failed Payment

If payment fails:

  • We’ll attempt to notify you
  • Your account may be downgraded or suspended
  • We may terminate your account after 30 days

6. Cancellation and Termination

6.1 Cancellation by You

You may cancel anytime by:

Upon cancellation:

  • Billing stops immediately
  • No refunds for partial periods (except as in Refund Policy)
  • You lose access to the App
  • Your data is deleted per our Privacy Policy

6.2 Termination by Us

We may suspend or terminate your access if:

  • You breach these Terms
  • You violate Shopify’s policies
  • Your account poses security risks
  • Your use violates applicable laws
  • You engage in abusive behavior
  • Payment is more than 30 days overdue

We’ll provide notice when practical, but may terminate immediately for serious violations.

6.3 Effect of Termination

Upon termination:

  • Your license to use the App ends
  • We’ll delete your data per Privacy Policy timelines
  • Shopify’s shop/redact webhook triggers data deletion
  • Outstanding fees remain due
  • Limitations of liability survive termination

7. Acceptable Use

7.1 Prohibited Uses

You may not:

  • Violate any laws or regulations
  • Infringe intellectual property rights
  • Use the App for illegal purposes
  • Attempt to reverse engineer the App
  • Access the App’s underlying code or systems
  • Use the App in ways that harm us or others
  • Automate access beyond normal use
  • Share your account credentials

7.2 Shopify Policy Compliance

You must comply with:

  • Shopify’s Acceptable Use Policy
  • Shopify’s Terms of Service
  • Shopify’s API Terms of Service

7.3 Content Responsibility

You’re responsible for:

  • All AI-generated descriptions you publish
  • Ensuring product descriptions comply with laws
  • Accuracy of information provided to customers
  • Intellectual property rights for your content

7.4 Enforcement

Violations may result in:

  • Warning and request to cure
  • Temporary suspension
  • Permanent termination
  • Report to Shopify or authorities

8. Intellectual Property

8.1 Our IP Rights

We own all rights to:

  • The App and its code
  • Our trademarks and branding
  • Documentation and materials
  • Algorithms and methodologies

These Terms grant you no ownership rights, only a limited license to use the App.

8.2 Your License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the App via your Shopify store
  • Use the App for your internal business purposes
  • Generate content using the App

This license terminates when you cancel or we terminate your account.

8.3 Your Content

You retain ownership of:

  • Your product data
  • Content you create
  • Your store information

You grant us a limited license to:

  • Process your content to provide the App
  • Use anonymized, aggregated data for improvements
  • Cache your content as needed for performance

8.4 Generated Content

Content generated by the App (AI-generated descriptions):

  • Belongs to you
  • Is provided “as is” without warranties
  • Is your responsibility to review and approve
  • May not be unique (AI may generate similar content for others)

You’re responsible for ensuring generated content:

  • Complies with applicable laws
  • Doesn’t infringe third-party rights
  • Is accurate and appropriate for your products

8.5 Feedback

If you provide feedback, suggestions, or ideas:

  • We may use them without obligation or compensation
  • You grant us a worldwide, royalty-free license
  • No confidentiality obligations apply

9. Warranties and Disclaimers

9.1 Limited Warranty

We warrant that the App will substantially perform as described in our documentation.

If the App doesn’t meet this warranty, your sole remedy is:

  • We’ll attempt to fix the issue within a reasonable time
  • If we can’t fix it, you may cancel and receive a prorated refund

9.2 Disclaimer

THE APP IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND.

WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR COMPLETENESS
  • UNINTERRUPTED OR ERROR-FREE OPERATION

We don’t guarantee:

  • The App will meet your specific requirements
  • Results from using the App
  • AI-generated content quality or uniqueness
  • Compatibility with third-party services
  • Availability during Shopify outages

9.3 AI-Generated Content Disclaimer

Content generated by AI:

  • May contain errors or inaccuracies
  • May not be unique to you
  • Requires your review and approval before use
  • Is not guaranteed to comply with specific regulations
  • May not match your brand voice perfectly

You’re solely responsible for reviewing and approving all generated content.

10. Limitation of Liability

10.1 Liability Cap

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM.

For free accounts, our liability is limited to $100 USD.

10.2 Excluded Damages

WE’RE NOT LIABLE FOR:

  • INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
  • LOSS OF PROFITS, REVENUE, OR BUSINESS
  • LOSS OF DATA (beyond restoration from backups)
  • LOSS OF GOODWILL OR REPUTATION
  • COST OF SUBSTITUTE SERVICES
  • BUSINESS INTERRUPTION

Even if we knew such damages were possible.

10.3 Exceptions

These limitations don’t apply to:

  • Our gross negligence or willful misconduct
  • Claims that can’t be limited by law
  • Our indemnification obligations
  • Violations of intellectual property rights

10.4 Third-Party Liability

We’re not liable for:

  • OpenAI API outages or issues
  • Shopify platform outages or issues
  • Changes to Shopify’s API or policies
  • Shopify’s data handling practices
  • Shopify billing issues

11. Indemnification

11.1 Your Indemnification

You agree to indemnify and hold us harmless from claims arising from:

  • Your use of the App
  • Your violation of these Terms
  • Your violation of applicable laws
  • Your product data or content
  • Your store’s products or practices
  • Third-party claims related to your use

This includes legal fees and costs.

11.2 Our Indemnification

We’ll defend you against claims that the App infringes third-party intellectual property rights, provided you:

  • Notify us promptly in writing
  • Give us control of the defense
  • Cooperate with our defense

If we believe infringement occurred, we may:

  • Obtain rights for you to continue using the App
  • Modify the App to avoid infringement
  • Terminate and refund prorated fees

This doesn’t apply if infringement results from:

  • Your modifications to the App
  • Your use beyond these Terms
  • Combination with third-party services

12. General Provisions

12.1 Entire Agreement

These Terms, along with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement and supersede all prior agreements.

12.2 Amendments

We may modify these Terms at any time:

  • Material changes: 30 days email notice
  • Minor changes: Posted to the App
  • Continued use constitutes acceptance

12.3 Governing Law

These Terms are governed by the laws of California, USA without regard to conflict of law principles.

12.4 Dispute Resolution

Disputes must be resolved in the courts of California, USA.

12.5 Assignment

You may not assign these Terms. We may assign to:

  • An affiliate
  • A successor in merger or acquisition
  • A purchaser of substantial assets

12.6 Severability

If any provision is unenforceable, the rest remains in effect.

12.7 Waiver

Our failure to enforce any right doesn’t waive that right.

12.8 Force Majeure

We’re not liable for delays due to circumstances beyond our control (natural disasters, war, pandemic, internet outages, Shopify outages, OpenAI API outages, etc.).

This doesn’t excuse your payment obligations.

12.9 No Partnership

We’re independent contractors. These Terms don’t create a partnership, joint venture, or agency relationship.

12.10 Export Compliance

You may not export or re-export the App in violation of U.S. export laws.

You represent you’re not:

  • On a U.S. government prohibited party list
  • Located in an embargoed country
  • Subject to U.S. export restrictions
